ARTICLE I – Name
The name of this organization shall be the ELDON ROUGH RIDERS SADDLE CLUB.
ARTICLE II – Object
The objects and purposes for which this association is formed are scientific, educational, and social, to teach and to preserve and pass down to future generations equine activities and train the members of the club the proper method of care and training of show and saddle horses, including the conducting of classes, teaching and fostering proper safety factors and methods of handling, showing, training of horses, including horseback riding; to promote and provide horse shows, rodeos, and other contests or functions relative there to, and providing for the maintenance and management of a building or buildings, and grounds to be used for meeting and training purposes, and to acquire or lease such training area and other property as are necessary for such purposes.
ARTICLE III – Membership
Section 1 – Membership in this organization shall be open to any person(s). A Family Membership shall consist of any immediate family members– including adult members and minor children. These persons shall be known as Active Members.
Section 2 – All members of this organization may attend any and all meetings, but the voting powers will be limited to: 1 Adult Vote per Individual Membership and 2 Adult Votes per Family Membership. All Voters must be present.

ARTICLE IV – Officers
Section 1 – The Officers of this organization shall be: President, Vice-President, Secretary, Treasurer, or Secretary-Treasurer, and a Board of Directors.
Section 2 – The Board of Directors shall consist of no less than two and no more than four members. The Board of Directors are to be elected each year with a maximum of two consecutive terms. If no other member accepts a nomination for the position, this term can be extended with a majority vote of the members in attendance.
Section 3 – The President, Vice- President, Secretary, Treasurer or Secretary-Treasurer shall be elected and serve a term of two years with a maximum of two consecutive terms.
Section 4 – A majority of all votes cast shall be necessary to constitute an election.
Section 5 – Vacancies in office shall be filled by a special election.
Section 6 – Only a member of good standing can be elected as an Officer.
Section 7 – When attendance reaches a minimum of 30 members in good standing, maximum term limits will be enforced.

Section 1 – This Constitution may be amended at any regular meeting provided the amendments shall have been submitted at the last regular meeting, to be acted upon by the Officers and the Board of Directors of this organization by a majority vote. Adoption of the amendment(s) hereto shall require a two-thirds majority vote of members present at the next regular meeting.
Section 2 – Any previous amendments to the Constitution and Bylaws that may exist and are not presently included in this document are hereby null and void.

ARTICLE VIII – Code of Conduct
Section 1 – During a meeting a member must confine their remarks to the question, be courteous in their language and deportment, avoid all personalities, not arraign the motive of another member, and emphasize that is is not the individual, but the measure that is subject of debate. It is the duty of the Officers to enforce these behavioral guidelines.

ARTICLE I – Dues
Section 1 – The annual Eldon Rough Riders Saddle Club (Club) membership dues are due at the regular February meeting of each year. The Club year shall begin in February of the first year and end in January of the following year.
- Individual Adult Membership Dues are $25
- Family Membership Dues are $35
- Individual Youth Membership Dues are $20
- Individual Adult Social Membership Dues are $20
ARTICLE II – Membership
Section 1 – New Members are encouraged and welcomed at any time.
Section 2 – A member in good standing is defined as a paid member that has attended a minimum of six monthly member meetings per calendar year and has followed the Constitution and Bylaws as written.
Section 3 – Individual Membership is defined as: A Single Adult Member with one voting privilege
Section 4 – A family membership is defined as: A family consisting of children and grandchildren related to one or both of the main adult members on the Membership application. Family Membership shall also extend to include adult children living in the same household attending school. This membership will have 2 adult voting privileges.
Section 5 – Individual Youth Membership is defined as: A Single Person under 18 years of age with parent/guardian signature and approval with no voting privileges.

ARTICLE III – Terms of Office for Elected Officers
Section 1 – Officers and Board members shall be elected at the first regularly scheduled meeting of February with their term beginning immediately upon election. Terms that reach full length, as stated in the Constitution, end when a replacement is elected, or, in the case where their role no longer exists, at the first regularly scheduled meeting of February.
Section 2 – Officers and Board members elected in special election will finish the term of the Officer or Board member they replace. This does not count as a consecutive term if less than one year is left on the term.

Section 2 – Vice-President: The Vice-President shall assume the duties as President in his/her absence.
Section 3 – Secretary: The secretary shall record and maintain accurate minutes of the organization, submit a monthly report and make records accessible to all active Club members in good standing (The Membership) for review during monthly business meetings. He/she shall send out notices and correspondence as needed. He/she shall maintain an accurate listing of all The Membership to include physical addresses, email addresses and phone numbers.
Treasurer: The Treasurer shall maintain accurate financial records, submit a monthly report and make records accessible to The Membership for review during monthly business meetings. Treasurer shall collect and receive all dues and other monies belonging to the Club and deposit said funds in the name of the Club at the bank chosen and approved by The Membership. He/she shall keep an itemized account of all monies received and all monies dispersed for payment of approved financial obligations. All financial activities will be paid by check from the Club’s checking account after approval by The Membership or the Officers and Board. Two authorized Officers must sign all checks. There must be three Officers authorized to sign checks.

Section 2 – The property, funds, and affairs of the club shall be disclosed to the Board members to assist them in being able to make knowledgeable decisions.
Section 3 – The Officers and Board shall take whatever action they deem necessary to carry out the day-to-day functions in the best interest of the Club. This includes, but is not limited to, planning and executing shows and events, making financial decisions regarding daily operations, and revoking membership. This does not include decisions regarding changes to the Constitution or Bylaws, or the purchase, construction of, or repairs of any Club owned or leased property in excess of $300.
Section 4 – Open meetings of the Officers and Board shall be announced to The Membership either by social media, email, or phone. At this meeting all club members are permitted to attend but have no right to vote. The Officers and Board reserved the right to hold closed meetings. For both open and closed meetings minutes and record of attendance are required. The minutes will be read at the next regular monthly meeting.
Section 5 – A sign in sheet shall be presented and used to validate who is in attendance at all meetings of the Club.
Section 6 – Meetings shall be conducted in accordance to Robert’s Rules of Order.
Section 7 – An Officer or Board member, other than the President, shall be selected to monitor operation in accordance with the Constitution and Bylaws.
Section 8 – A majority vote of The Membership present is required to elect or remove an Officer or Board member.
Section 9 – Any action of the Officers and Board shall require a five-sixths majority vote of The Membership present at the meeting.

Transactions less than the above amount may be approved by a majority vote of the Officers and Board, excluding President.
Section 3 – No member of the Club can conduct any business or financial agreement of behalf of the Club without approval as defined in article VI section 2.
Section 4 – All business or financial arrangements made on behalf of the Club must be presented at every meeting with full transparency.

Section 3 – When a member is asking for a sponsorship or donation the appropriate form must be filled out and the person/business must be presented with a receipt. This business will be conducted in a manner as to represent the club properly.

Section 4 – Adoption of amendments to the Bylaws shall require a majority vote of The Membership present at the next regular meeting.

ARTICLE IX – Liability
Section 1 – Release and Waiver:
Eldon Rough Riders Saddle Club will not be held liable for any accidents on the premises. Those using the arena and surrounding premises hereby release and forever discharge and hold harmless Eldon Rough Riders Saddle Club, it’s officers, board of directors, members, and representatives from any and all liabilities, claims and demands of whatever kind in nature, either in law or in equity, which arise or might hereafter arise from their use of our arena and surrounding premises. Users of the arena and surrounding premises understand that this Release discharges Eldon Rough Riders Saddle Club, it’s officers, board of directors, members, and representatives from any liability or claim that they might have with respect to any bodily injury, personal illness, death, property damage, and any bodily injury, illness, or death to any animal that may result on or from their use of the arena and surrounding premises.

Section 1 – All Club Members are to display good conduct and display good sportsmanship at all times. All Club Members shall be responsible for their conduct and safety as well as that of their dependents and guests.
Section 2 – Any Club Member or guest displaying unruly conduct shall be issued a warning as to the conduct expected, uncooperative offenders will be asked to leave the premises. All their points earned for that show/event will be null and void.
Section 3 – Anyone caught abusing any animal or person, verbally or physically, shall be removed from the premises immediately. No refund will be given. All their points earned for that show/event will be null and void.
Section 4 – The possession or use of illegal drugs or alcohol on Club grounds or during any type of Club activity will not be tolerated. All their points earned for that show/event will be null and void.
Section 5 – Any infractions of Sections 2, 3, or 4 will be grounds for revoking membership and future participation in our show/events.
Section 6 – No overnight camping or any type of fire is allowed on Club grounds.
Section 7 – Other animals, such as dogs, must be kept on a leash at all times during the show/events. If said animal is creating a disturbance the owner/guardian will be asked to remove the animal from the premises.
Section 8 – No stallion may be handled and or ridden by persons under 18 years of age.
Section 9 – Safety is a MUST! You must keep your safety and the safety of others in mind as you ride and compete by keeping your horse under control at all times.
Section 10 – No horses are allowed in the area between the cook shack, announcers stand and the picnic tables for safety reasons. The arena entrance is to be clear unless you’re riding next.
Section 11 – Do not ride faster than a trot in the road and the parking area.
Section 12 – If your horse is known to kick, a red ribbon must be attached in their tail.
Section 13 - No parking directly behind the arena gate to leave room for horses to enter the arena and for riders to warm up.
Section 14 – When parking your trailer remember to leave enough room for you and your neighbor to tie your horses safely. Your horse must be securely tied at a length of no more than 18 inches.
Section 15 – All riders must wear a riding heel for your safety, excluding lead line. Western wear and hats encouraged but not required. English attire is acceptable. Please wear appropriate clothing for a family event.

Section 1 – Any committee formed with a head must conduct all business or financial discussions through the head of the committee. Likewise, the head will communicate all pertinent information with all committee members in a timely manner. Failure to do so may be grounds for removal from the committee.
